FAIRY ramadhan is going well Alhumdulillaah :)

Had a couple of days where i was slightly struggling ie headaches and stuff, but overall its been good....not to mention its probably the one time in the year where i consecutively manage to get myself onto the prayer mat for 25 days or so. :-

How's it going for you yaar?

1. Under the UK law there are four types of company that can be registered:

Private companies limited by shares ? the liability of any share holder cannot be more than the amount that is unpaid on shares held by them. When shares are issued, there are a certain number of shares in any company. There is a particular face value on each share and , say 100 shares comprise the share capital of the company. Two may be issued and fully paid up and a balance of 98, namely ?98 is the extent of the liability in relation to the company.

Private Company Limited by Guarantee ? the liability of any members/shareholders is limited to the amount that they have agreed to contribute to the company's assets if it is wound up. This type of company is generally only used for charitable work and cannot be used as a company trading for profit.

Private Unlimited Company ? this is a private company with no limit as to members liability.

Public Limited Company (plc) ? the shares in a plc may be offered for sale to the general public but the liability of shareholders as with private limited companies cannot exceed the amount unpaid on shares held by them.

A private limited company requires at least one director and a company secretary. There must therefore be two officers as a sole director cannot also be company secretary.

A public limited company must have at least 2 directors and one secretary who is formally qualified to carry out the role. A plc must have at least 2 directors and at least 2 shareholders. These may be the same person. It must also have appointed a secretary who is capable of fulfilling the relevant functions and is deemed sufficiently qualified.

2. In order to register at the Company House ,you need to have the necessary documents (memorandom of association, articles of association, certain Company house forms and the prescribed fee (dont know what is the current fee).

Guess this is the best i can do here. If you have further queries you can contact me. In case of practical help you can use what Labs suggested and/or you can contact Louise Pinfold or Leigh Wharton at 0161 275 6487 at the MBS Incubator www.mbs.ac.uk

Good luck! :)

DOC yaar the answers to your questions are pretty complicated and would depend on the circumstances of the type of business, how many directors etc etc etc and as much as i would sit here and give the answers...i can't be arsed :P you know what i'm like );

Anyways LABS's suggestion is a very good one....make an appointment at ur local bank with the business manager and he will explain all the answers to ur question.

By the way what kinda business u wanna open? kebab shop :P

delving deep into my favourites: Small Business Advice - www.smallbusiness.co.uk

also go and see your local bank pretending, ahem, wanting to get a business loan, their business advisors will sit down and explain all this stuff to you

get your small business starter pack from lloyds tsb (if i had read mine i would probably be able to answer your questions)

if all else fails (or at the beginning) call your local Citizens Advice Bureau as they know everything about everything

lastly, do keep in touch as discussed for our charity event.. businesss people should help each other, innit (A)
